Product terms - Bloomberg

The following terms and conditions apply to the above products.

These terms (Terms) are between the customer entity (You or Your) and Integration Appliance, Inc. or its affiliate, as applicable (Intapp) that is a party to the governing document(s), including any applicable orders subject to such governing documents, in which these Terms are incorporated (collectively, the Governing Agreement). Capitalized words used in these Terms and not otherwise defined herein will have the meaning ascribed to them (or such analogous term thereunder) in the Governing Agreement.

Notwithstanding anything in the Governing Agreement to the contrary:

1. Subject to these Terms and the applicable Governing Agreement, Intapp can enable applicable Cloud Services to integrate with the Bloomberg Data License integration and any successor integration thereto (Bloomberg Integration), which allows You to utilize Your data license from Bloomberg, inclusive of the data therein and resulting therefrom (Your Bloomberg Subscription). Your Bloomberg Subscription is provided by Bloomberg Finance, L.P. (along with its affiliates and other entities and personnel who provide products and services in relation to the Your Bloomberg Subscription) and any successor entities thereto (collectively, Bloomberg) and is subject to the applicable terms associated with Your Bloomberg Subscription (Your Bloomberg Terms).
2. The ability to enable the Bloomberg Integration is as an accommodation to You, however You acknowledge that The Bloomberg Integration and Your Bloomberg Subscription cannot be provided without Bloomberg, and You having an agreement with Bloomberg. Intapp may disclose Your data or information to Bloomberg as part of the enablement and ongoing provision of the Bloomberg Integration, however Bloomberg is not a third party under Intapp’s control (e.g., Bloomberg is not Intapp’s subprocessor, hosting provider, contractor, agent, or representative).
3. Intapp makes no warranties or other promises concerning, and assumes no liability for, the Bloomberg Integration or Your Bloomberg Subscription. In addition, Intapp may disable the Bloomberg Integration at any time without notice to You, however Intapp will use commercially reasonable endeavors to provide notice to You (email is acceptable) to inform You of why the Bloomberg Integration was disabled. Any issues with the Bloomberg Integration or Your Bloomberg Subscription shall not entitle You to terminate any agreement with Intapp or entitle You to any other remedy.
4. To enable Intapp to offer the Bloomberg Integration, You (including on behalf of your affiliates, contractors, agents, representatives, and end-users) agree to comply with Your Bloomberg Terms and to immediately: (i) notify Intapp when Your Bloomberg Terms terminate or expire so that Intapp can comply with its terms with Bloomberg; and (ii) delete all data required by Your Bloomberg Terms, as well as processed data, customer derived data, and resultant data in relation to Your Bloomberg Subscription, and provide written certification of the same to Intapp upon request.
5. No limitations of liability set forth in the Governing Agreement apply to Your breach(es) of these Terms.
6. These Terms will survive any termination or expiration of the Governing Agreement (or any part thereof) and govern in the event of any conflict or ambiguity between these Terms and the Governing Agreement.
